Welcome to Storage Hero, operated by BlueScroll, Inc. ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at bluescroll.io (the "Site"), our mobile application (the "App"), and our on-demand storage services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.


We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Site and App, and your continued use after the effective date constitutes acceptance. Please review these Terms periodically.


1. Description of Services


Storage Hero provides an AI-driven on-demand storage solution that allows you to store your existing large plastic storage containers (e.g., Sterilite or Rubbermaid totes) in our automated warehouses. Using our App, you can:

- Photograph and validate your containers via AI for compatibility (e.g., checking for damage, size, weight, and material).

- Schedule pickups and deliveries via gig economy partners (e.g., Uber Direct or DoorDash Drive).

- Store items securely in modular, climate-controlled facilities.

- Request returns or access add-ons like insurance or priority service.


Our Services rely on AI technologies (e.g., for container screening, tracking, and warehouse optimization) and third-party logistics. We do not guarantee perfect accuracy in AI assessments, and you assume responsibility for final validation of your containers.


2. Eligibility and User Accounts


You must be at least 18 years old and capable of forming a binding contract to use the Services. By creating an account, you represent that you meet these requirements.


To use the Services, you must register an account with accurate information (e.g., name, email, phone, and payment details). You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.


We reserve the right to suspend or terminate accounts for violations of these Terms, including providing false information or prohibited use.


3. User Responsibilities


3.1 Container Preparation and Validation


- Use only compatible containers: Large, durable plastic totes (18-64 gallons) that are clean, sealed, and free of damage. Prohibited items include hazardous materials (e.g., flammables, explosives, corrosives), perishables, illegal substances, live animals, or valuables exceeding $1,000 without insurance.


- Submit accurate photos/videos via the App for AI screening. You may override AI rejections but assume all risks of warehouse rejection or damage.


- Pack items securely; we are not liable for contents shifting during transport or storage.


3.2 Prohibited Conduct

You agree not to:


- Store prohibited items or use the Services for illegal purposes.


- Interfere with our AI systems, warehouses, or third-party partners.


- Misrepresent container contents or condition.


- Harass drivers, staff, or other users.


- Reverse engineer our App or AI technologies.


We may inspect containers at intake using AI inspection lanes and reject non-compliant ones, with return fees applying.


4. Fees and Payments


- Storage Fees: Charged monthly per container (e.g., $3.50 base + add-ons like $1 for climate control or $3 for insurance). Fees are based on size, location, and services selected.


- Transport Fees: $10 per trip (pickup/delivery), subject to surge pricing or distance.


- Other Fees: Late payments ($10/month), rejections ($15), or storage overages.


All fees are non-refundable except as required by law. We bill via your linked payment method (e.g., credit card). You authorize recurring charges and agree to update payment info promptly. Taxes and third-party fees (e.g., gig platform surcharges) may apply.


If your account is past due, we may suspend Services and charge interest at 1.5% per month or the maximum legal rate.


4.1 Prepayments and Launch Credits


As part of our waitlist and launch program (detailed in Section 11), you may make optional prepayments in whole dollar amounts from $1 to $1,000 to support your ZIP code's launch priority and earn credits toward future Services. Prepayments are non-refundable and non-transferable, even if you do not ultimately use the Services, if we do not launch in your area, or if we do not launch at all. Prepayments do not guarantee launch timing, availability, or any specific benefits beyond the stated credits and votes. Funds from prepayments may be used for general business development, and we make no commitment to refund them under any circumstances, including delays, cancellations, or failure to launch.


For each dollar prepaid, you receive 2 launch credits (applied as discounts on future storage fees once we launch our first ZIP code) and 5 ZIP code votes (to influence launch priority). Launch credits are awarded upon our first ZIP code launch and may be transferred to other waitlist participants by specifying their account email. We reserve the right to adjust credit and vote rates at any time, with notice for material changes. Prepayments are processed via third-party providers (e.g., Stripe), and you agree to their terms.


5. Ownership and Intellectual Property


We own all rights to the Services, including our AI technologies, patents (e.g., for container screening and tracking), trademarks (e.g., "Storage Hero" and "BRAIN"), and software. You grant us a limited, non-exclusive license to use photos/videos of your containers for AI validation, tracking, and improvement (anonymized where possible).


You retain ownership of your stored items but grant us permission to handle, transport, and store them as needed.


6. Insurance and Liability


We provide basic insurance up to $100 per container for loss/damage due to our negligence (excluding contents value). Optional comprehensive insurance is available ($3/month, up to $1,000 per container).


Limitation of Liability: To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, or punitive damages (e.g., lost profits or data). Our total liability shall not exceed the fees paid by you in the prior 6 months. We are not responsible for third-party actions (e.g., gig drivers) or force majeure events (e.g., natural disasters).


You agree to indemnify us against claims arising from your use of the Services, including prohibited items or misrepresentations.


7. Termination


You may cancel your account anytime via the App, but outstanding fees remain due. Stored items must be retrieved within 30 days, or we may dispose of them (with notice).


We may terminate your account for violations, non-payment, or at our discretion, with reasonable notice where possible. Upon termination, retrieve your items promptly; storage fees accrue until removal.


8. Privacy


Your use of the Services is subject to our Privacy Policy at bluescroll.io/privacy, which explains how we collect, use, and protect your data (e.g., location for deliveries, photos for AI).


9. Dispute Resolution


These Terms are governed by Delaware law, without regard to conflicts of laws. Any disputes shall be resolved through binding arbitration in Dallas, Texas, under AAA rules, except for small claims or injunctive relief. You waive class action rights.


10. Miscellaneous


- Severability: If any provision is invalid, the rest remain enforceable.


- Waiver: No waiver of any term is binding unless in writing.


- Assignment: We may assign these Terms; you may not without our consent.


- Entire Agreement: These Terms constitute the full agreement, superseding prior understandings.


11. Waitlist and ZIP Code Launch Program


To prioritize launches in high-demand areas, we offer a waitlist program with a "ZIP Code Launch Game" where participants can influence their area's priority through votes. By joining the waitlist, you agree to these rules:


- Waitlist Participation: Joining is free, but positions may change based on referrals and other factors. We make no guarantees about your position, launch timing, or availability in your ZIP code. Positions are not transferable.


- Referral Program: You may refer others using your unique referral code. Successful referrals (verified sign-ups) grant you random "hops" on the waitlist (1, 10, 100, or 1000 spots forward, subject to availability and caps) and award 50 votes to your ZIP code. Referrals must be genuine; self-referrals, spam, or fraudulent activity will result in disqualification, position loss, or account termination. We reserve the right to verify referrals and adjust positions for fairness.


- ZIP Code Votes: Each waitlist participant in a ZIP code contributes one base vote. Additional votes are earned via prepayments (5 per dollar) and referrals (50 per referral). Total votes determine ZIP code ranking for launch priority. Vote calculations include aggregated prepay and referral votes plus unique users per ZIP. Rankings are dynamic and may change; we provide no guarantees on outcomes. We may adjust vote weights or rules at any time for balance or anti-abuse purposes.


- Rewards: The top 1000 participants on the final waitlist (based solely on position, primarily influenced by referrals) receive 3 months of free storage upon launch (up to a reasonable number of containers, non-transferable, and subject to availability). The top 10 receive 1 year of free storage under similar terms. Rewards expire if not claimed within 6 months of launch in your area. We may substitute equivalent value if Services are unavailable.


- Program Changes and Termination: We reserve the right to modify, suspend, or terminate the waitlist, referral program, or ZIP Code Launch Game at any time, with or without notice. No compensation will be provided for lost positions, votes, or rewards. Participation does not create any obligation for us to launch in your area or at a specific time.


- Anti-Abuse and Liability: You agree not to manipulate the system (e.g., via bots, multiple accounts, or false information). Violations may lead to disqualification and legal action. We are not liable for any losses related to the program, including data usage, third-party sharing, or unmet expectations.
